Terms of service
Effective date: September 25, 2026 · Version 1.1
IMPORTANT - PLEASE READ. TakeoffIQ is a software tool that uses automated methods, including artificial intelligence (AI), optical character recognition and computer vision, to help prepare electrical takeoffs and estimates. No AI-generated takeoff program is 100% accurate. Counts, measurements, wire and conduit lengths, panel and fixture schedules, prices, labor hours and every other result may contain errors or omissions.
It is highly recommended that every line of every takeoff, estimate, proposal and bid form is checked by a qualified estimator against the drawings and specifications before it is used. TakeoffIQ LLC is not responsible for any errors or omissions in anything the Service produces, or for any loss that results from them (see sections 3 and 4).
TakeoffIQ is an estimating tool only and must not be trusted without careful review. By using it you agree to defend, indemnify and hold harmless TakeoffIQ LLC from any and all liability arising from its use (see sections 2A and 12).
1. Agreement
These Terms of Service ("Terms") are an agreement between you and TakeoffIQ LLC ("we", "us"), which provides the TakeoffIQ software and website (the "Service"). "You" means the company or person that creates an account, and everyone who uses the account. By creating an account, checking the box to accept these Terms, or using the Service, you agree to these Terms. If you use the Service for a company, you confirm that you are authorized to accept these Terms for it. If you do not agree, do not use the Service.
2. What the Service is
The Service reads construction drawings you upload and produces draft quantities, measurements, prices, labor hours, estimates, proposals, filled bid forms, value-engineering suggestions and lists of questions ("Output"). Output is a starting point to help a qualified estimator. It is not a finished estimate, it is not a professional engineering, design, legal or code-compliance review, and it does not replace your own judgment. Suggestions about wire sizes, conductor material, overcurrent protection or code requirements are for information only and must be verified by a qualified person against the applicable codes, the drawings and the engineer of record.
2A. Important notice - estimating tool only; user review required
- Estimating tool only. The Service is provided solely as an administrative tool to assist in the preparation of electrical project estimates. It is not a substitute for professional judgment, manual verification, or on-site engineering assessments.
- User review required. Material costs, labor rates, regional regulations, codes and project specifications vary widely and change frequently. All outputs, calculations, quantities and pricing generated by the Service - including default prices, labor units and any price data entered by you, imported from files or obtained from suppliers or other third parties - must be carefully reviewed, verified and approved by a qualified professional before being used in any binding bid, contract or construction project. TakeoffIQ LLC does not guarantee the accuracy or currency of any price or labor data.
- Hold harmless. By using the Service you agree that it is provided "as is" and "as available" and, to the maximum extent permitted by law, you agree to defend, indemnify and hold harmless TakeoffIQ LLC, its officers, directors, employees and agents from and against any and all claims, liabilities, damages, losses or expenses (including legal fees) arising out of or in any way connected with: (a) mathematical, algorithmic, software or data errors within the Service or its Output; (b) underestimation, overestimation, or loss of profits on any bid, estimate or project; and (c) project delays, material shortages, code or regulatory compliance issues, or any other consequence of relying on the Service.
- Your use of the Service constitutes your acceptance of these Terms. If you do not agree, you must stop using the Service immediately.
3. No guarantee of accuracy - you must check the Output
You understand and agree that:
- No AI-generated takeoff program is 100% accurate. The Service can miss items, count items twice, misread symbols, text, scales, schedules or notes, measure lengths incorrectly, apply the wrong price, and leave out scope that is on the drawings.
- Drawing quality, scanned or outlined sheets, missing sheets, legends, schedules or specifications, addenda and changes to the drawings all affect the Output. Confidence scores and flags shown by the Service are aids only; an item shown with a high score can still be wrong, and items can be missing without any flag.
- You are solely responsible for reviewing and verifying every line of every Output, including all quantities, measurements, prices, labor, markups, exclusions and totals, before you use it in any bid, proposal, contract, purchase or other decision.
- You are solely responsible for your bids, proposals, contracts, bid forms, pricing and the work you perform, and for complying with all codes, laws, specifications and contract requirements.
4. Errors and omissions - we are not responsible
To the fullest extent allowed by law, TakeoffIQ LLC is not responsible or liable for any error, omission, inaccuracy, miscount, missed scope, incorrect measurement, incorrect price or incomplete result in any Output, or for any loss or damage arising from it, including without limitation: bids that are too low or too high, lost bids or contracts, cost overruns, material or labor shortages, change orders, rework, delays, penalties, back-charges, code violations, claims by owners, general contractors or others, and lost profits. You use the Output entirely at your own risk.
5. Your account
You must give accurate information, keep your password secure, and are responsible for everything done under your account, including by users you add. Tell us promptly at support@TakeoffIQ.net if you believe your account has been used without permission.
6. Free trial, subscriptions and payment
- A free trial may be offered for a limited time and number of takeoffs. When it ends, a paid plan is needed to create new takeoffs.
- Paid plans are billed monthly in advance through our payment processor (Stripe) and renew automatically each month until cancelled. By subscribing you authorize us to charge your payment method each month.
- You can cancel at any time from the Billing page. Cancellation takes effect at the end of the current billing period. Fees already paid are not refundable, including for partial months or unused takeoffs, except where the law requires otherwise.
- Each plan includes the limits shown on the Billing page (for example takeoffs per month, users and AI symbol checks). Unused amounts do not carry over.
- If a payment fails, we may limit or suspend the account until it is paid. We may change prices or plans with at least 30 days' notice; the new price applies from your next billing period after the notice.
- Prices do not include taxes; you are responsible for any taxes that apply.
7. Your drawings and data
- You keep ownership of the drawings, documents and data you upload ("Your Content") and of your Output. You give us permission to store, copy and process Your Content only as needed to provide, secure and support the Service.
- You confirm that you have the right to upload Your Content and that doing so does not violate anyone else's rights or any confidentiality obligation.
- When the optional AI symbol check is used, small image crops of the drawings may be sent to our AI provider solely to provide that feature.
- We may use anonymous, aggregated information about how the Service is used (not Your Content itself) to operate and improve the Service.
- Keep your own copies of your drawings, estimates and reports. We take reasonable steps to protect and back up data, but we are not responsible for loss of Your Content or Output.
8. Acceptable use
You will not: use the Service unlawfully; upload anything you have no right to share or anything harmful; try to break, overload, copy, reverse engineer or get around the security or limits of the Service; share one account among separate companies; or resell the Service without our written permission.
9. Availability and changes
We aim to keep the Service available but do not promise it will be uninterrupted, error-free or available at any particular time, including near a bid deadline. We may change, add or remove features, and we may suspend the Service for maintenance or security.
10. Disclaimer of warranties
THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, TO THE FULLEST EXTENT ALLOWED BY LAW.
11. Limitation of liability
TO THE FULLEST EXTENT ALLOWED BY LAW: (a) TakeoffIQ LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BIDS OR CONTRACTS, OR LOST DATA, HOWEVER CAUSED; AND (b) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limits apply even if we were told a loss was possible, and even if a remedy fails of its essential purpose.
12. Indemnity
To the maximum extent permitted by law, you will defend, indemnify and hold harmless TakeoffIQ LLC and its owners, officers, directors, employees and agents from and against any and all claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service or the Output (including the matters listed in section 2A), your bids, proposals, contracts or work, Your Content, or your breach of these Terms. This applies to claims made by you and to claims made against us by anyone else, such as owners, general contractors, suppliers or your customers.
13. Ending the agreement
You may stop using the Service and cancel at any time. We may suspend or close an account that breaks these Terms or does not pay. After an account is closed, we may delete Your Content after a reasonable period, so download anything you need first. Sections 2A, 3, 4, 7, 10, 11, 12 and 14 continue to apply after the agreement ends.
14. General
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules, and any dispute will be brought in the state or federal courts located in Lee County, Florida, and you agree to their jurisdiction. If any part of these Terms is found unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver of it. You may not transfer these Terms without our consent. We may update these Terms; if we make a material change we will notify you by e-mail or in the Service at least 30 days before it takes effect, and continuing to use the Service after that means you accept the updated Terms. These Terms are the entire agreement between you and us about the Service.
